According to the data in the information disclosure system of the National Securities and Stock Market Commission (NSSMC), the relevant issue is included in the agenda of the company's extraordinary shareholders' meeting scheduled for December 2.
As reported, UkrEnergoMachines raised this issue at the shareholders' meeting in August 2023 and even considered the possibility of concluding an agreement with DonbasEnergo on joint actions to supply this turbine equipment to Kazakhstan.
However, one state representative who had registered for the meeting voted against it.
Meanwhile, according to the materials of the court case on debt repayment, in August this year, the Economic Court of the Donetsk Region completely dismissed UkrEnergoMachines' claim, after which the company filed an appeal against this decision, and on November 6, the Eastern Economic Court of Appeal was to consider it.
Anyhow, the court's materials indicate that the parties had filed motions to postpone the appeal hearing to provide an opportunity to resolve the dispute through negotiations.
In the meantime, UkrEnergoMachines requested an extension of the deadline no earlier than December 19, when the plaintiff will be able to receive the preliminary results of the shareholders' meeting.
According to the agenda of the meeting, on December 2, they also plan to consider, among other things, the replacement of two members of the management board and the re-election of one for a new term, as well as amendments to the regulations on the management and supervisory board and the regulations on the principles of formation of the SB.
The JSC UkrEnergoMachines is the only Ukrainian manufacturer of turbine equipment for hydro, thermal and nuclear power plants, with a closed cycle of equipment production: research and development, design work, production, testing, installation supervision, commissioning, technical engineering support, maintenance repairs, equipment modernisation during operation. The company also produces electric motors for railway and urban transport (ElectroTyazhMash nomenclature).
In addition to the state, the shareholders (as of the first quarter of 2024) include the "Seventh" venture investment fund, which is affiliated with the entrepreneur Kostiantyn Grygoryshyn and managed by AMC Svarog Asset Management, with 15.3416% of shares, and the Russian citizen Valeriy Valandin, with 5.598% of shares.
According to the company, in 2023, its net profit amounted to UAH 0.2 million, compared to UAH 0.32 million a year before, with a 2.7-fold drop in net income – to UAH 376.3 million.
