Ukrnafta receives AMCU approval for acquisition of Shell filling stations network

The state-owned company will become the owner of the Shell filling station network in Ukraine and will transfer them to its own brand. The Antimonopoly Committee has granted permission to Ukrnafta to acquire more than 50% of the shares of Shell's gas station chain (Alliance Holding LLC), the decision was made on Thursday, January 23, the AMCU website reports.

Ukrnafta acquires a 51% stake in Alliance Holding LLC, owned by Shell Overseas Investments B.V.
The other 49% belong to the state represented by the State Property Fund after a court order under sanctions against Russian Eduard Khudainatov (who was a partner of Shell).
After the transaction is completed, Ukrnafta will become the majority owner of the network of 118 filling stations, and Shell will leave the Ukrainian market along with its brand.
Shell ranks ninth in Ukraine in terms of fuel sales in the first nine months of 2024 and seventh – in terms of the number of filling stations. Ukrnafta is the market leader with a share of 7-8% (as of October 2024).
